  • Working Capital Requirement (WCR): seasonality, cut-off, impact on adjustments,
  • Net Debt & Debt-like items: identification, analysis, points of attention,
  • Risk Synthesis: focus points, recommendations, price/closing impact.
Valuation
  • Approaches: DCF, multiples/comparables, scenario analysis,
  • Valuation framing: divestment, reorganization, negotiation, discussions with stakeholders,
  • Intangible asset valuation (brand, software, IP),
  • Documentation: assumptions, sensitivities, business plan/market consistency.
Restructuring
  • Financial diagnosis, performance review, cash flow/cash burn analysis,
  • Business plan review, scenarios, action plan.
