Matthieu Pacaud

I primarily assist software publishers and SaaS companies, in France and internationally.

My role is to secure and structure their business while supporting their growth, with a resolutely pragmatic and business-oriented approach.

I intervene in particular on:

- Contractual structuring of SaaS offerings (client, partner, supplier contracts, POC, maintenance, associated services),

- Drafting and negotiation of IT and SaaS contracts, mainly for B2B and B2B2C models,

- Protection and valuation of intellectual property, particularly trademarks and software assets,

- Compliance of digital pathways (T&Cs, ToU, privacy, e-commerce), in line with operational and product challenges.

Beyond one-off assignments, I regularly work within teams, through secondment or recurring support, as a legal liaison or reinforcement.

This allows me to work in direct contact with the product, tech, security, marketing, and management teams, and to engage in a long-term partnership.

I also assist in the key phases of SaaS publishers' lives: launching new offerings, international contractual structuring, scaling up sales, and making arbitration decisions related to growth.

I intervened in particular on:

- Drafting and negotiation of IT and software contracts, on both the client and publisher side (acquisition of hardware and software, service provision, e-commerce, NDA, POC, consortium agreements),

- Structuring and implementing standard contracts, adapted to business uses (T&Cs, pilot contracts, maintenance, loans),

- IP and IT advice to operational teams, on recurring issues related to copyright and software, including open-source challenges.

This experience allowed me to develop a strong "in-house" culture, a fine understanding of the operational constraints of business teams, and the necessary arbitration between legal risk, deadlines, and business objectives.

It now informs my support for software publishers and SaaS companies, with a pragmatic, solution-oriented approach that is directly usable by the teams.

I worked as an associate on intellectual property litigation and advisory files, with a focus on trademarks.

On the litigation side, I intervened in particular on:

- Trademark opposition proceedings before the INPI and OHMI (now EUIPO),

- Drafting of litigation documents,

- Participation in hearings and anti-counterfeiting actions.

On the advisory side, I assisted clients with:

- Prior art searches and risk analyses,

- Trademark filings and portfolio management,

- Drafting of legal opinions,

- Negotiation and drafting of coexistence and settlement agreements.

This experience allowed me to acquire a solid litigation background and a fine understanding of risk and dispute prevention issues, which now informs my support for software publishers and SaaS companies, particularly in structuring intellectual property strategies designed for growth.
