1) Corporate & Governance (Occasional/Annual Support)

I help clients structure and monitor their corporate governance, offering a pragmatic approach tailored to their organization:

– Organizing and securing general meetings, board of directors, supervisory boards, and executive committees.

– Advising executives and shareholders on good governance practices.

– Handling occasional restructuring operations: mergers (internal or external), contributions, sales, capital increases and reductions, creation of preference shares, etc.

– Assisting family businesses with succession planning, in collaboration with notaries (donations, estate reorganizations, shareholder agreements).

2) M&A / Transactional

I handle merger and acquisition and divestiture transactions, both in France and internationally, across various sectors (industry, pharmaceuticals, hospitality, among others), at every stage of the process:

– Structuring the transaction and drafting LOIs, LOFs, etc.

– Conducting and coordinating legal due diligence.

– Drafting transactional documentation (SPAs, shareholder agreements, warranties, closing documents).
